Ivie Terms of Service

Welcome to ivie! These Terms of Service (“Terms”) govern your access to and use of the ivie website, platform, and services (collectively, the “Services”). Please read these Terms carefully before using our Services. By accessing or using any part of the Services, you agree to be bound by these Terms. If you do not agree to these Terms, do not use the Services.


1. Eligibility and Account Creation

You must be at least 18 years old to use the Services. By creating an account, you represent that you are at least 18 and that the information you provide is accurate and complete. You are responsible for maintaining the confidentiality of your account and password and for all activities that occur under your account. Notify us immediately of any unauthorized use of your account.

Subject to your compliance with these Terms, ivie grants you a limited, non-exclusive, non-transferable, and revocable license to access and use the Services for their intended purposes. You may not modify, copy, distribute, transmit, display, reproduce, publish, license, create derivative works from, transfer, or sell any content, software, products, or services obtained from the Services without our prior written consent.


You agree to use the Services in compliance with all applicable laws and regulations. You may not use the Services to:

• Upload or transmit any content that infringes any intellectual property or proprietary rights

• Upload or transmit any content that is defamatory, obscene, threatening, abusive, or hateful

• Interfere with the functionality or security features of the Services

3. Intellectual Property

The Services and their original content, features, and functionality are owned by ivie and are protected by international intellectual property laws. You may not use our trademarks, logos, or other proprietary information without our express written consent.

You retain ownership of any intellectual property rights in your User Content. You are solely responsible for your User Content and the consequences of posting it on the Services. By posting User Content, you affirm that you have the necessary rights and permissions to do so and that it does not violate any law or infringe the rights of any third party.

We have no control over the content, privacy policies, or practices of any third-party sites. You acknowledge and agree that ivie shall not be responsible or liable for any damage or loss caused by your use of any third-party sites or services.


6. Termination

We may suspend or terminate your access to the Services at any time for any reason, including if we reasonably believe you have violated these Terms. Upon termination, your right to use the Services will immediately cease. All provisions of the Terms which by their nature should survive termination shall survive, including ownership, warranty disclaimers, indemnity, and limitations of liability.


7. Disclaimer of Warranties

The Services are provided “as is” and “as available” without warranties of any kind, either express or implied, including but not limited to warranties of merchantability, fitness for a particular purpose, non-infringement, or course of performance. Ivie does not warrant that the Services will be uninterrupted, timely, secure, or error-free.


8. Limitation of Liability

To the fullest extent allowed by law, in no event shall ivie be liable to you or any third party for any lost profits, lost data, costs of procurement of substitute products, or any indirect, consequential, exemplary, incidental, special, or punitive damages arising from or relating to these Terms or your use of the Services, even if ivie has been advised of the possibility of such damages.


9. Indemnification

You agree to defend, indemnify and hold harmless ivie from and against any claims, liabilities, damages, judgments, awards, losses, costs, expenses, or fees (including reasonable attorneys’ fees) arising out of or relating to your violation of these Terms or your use of the Services.


10. Governing Law and Jurisdiction

These Terms shall be governed by and construed in accordance with the laws of Germany, without regard to its conflict of law provisions. You agree to submit to the personal jurisdiction of the courts located in Berlin, Germany for any actions related to these Terms or use of the Services.


11. Changes to Terms

We reserve the right to modify these Terms at any time. If we make material changes, we will provide notice on our website or by other means. Your continued use of the Services after any changes constitutes your acceptance of the new Terms. If you do not agree to the new Terms, you must stop using the Services.
